Welcome to Moderated.

Moderated is an online platform that utilizes AI assistants to facilitate discussion, debate and decision-making among users. By accessing or using the Moderated service and website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

When using the Service, please read these terms carefully and contact us if you have any questions.

Article 1: Definitions

In these Terms, the following words have the following meanings:

"We", "us", "our" or similar terms refer to the operators of the Moderated Service. "You" or "user" refers to the person accessing or using the Service. "Content" means text, graphics, images and other material appearing on or sent through the Service.

Article 2: Scope of Application

These Terms govern your access to and use of the Service. Certain features may be subject to additional terms, which will be clearly communicated. In the event of any conflict, these Terms shall take precedence.

Article 3: Eligibility, etc.

The Service can be used by individuals who:

Have legal capacity for responsibility. Agree and comply with these terms. Can prepare an internet connection environment at their own responsibility. Minors can use the Service with the consent of their legal guardian.

Users are responsible for all actions and results arising from using the Service.

Article 4: Agreement to the Terms

By registering, accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of the Terms, you must not use the Service.

Article 5: Registration

Some features may require you to register for an account. You agree to provide accurate and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality and security of your account.

Article 6: Account Management

Users are responsible for securely managing their account information. Users bear the losses caused by leakage or unauthorized use of account information. We reserve the right to suspend, terminate or delete your account at our discretion, such as for violation of these Terms or extended inactivity. You may delete your account, but note that certain information may be retained as required by law or for legitimate business purposes.

Article 7: Deletion of Registration

If users wish to delete their registration, they must do so using the prescribed method within the Service. After registration deletion, user-related information will generally not be disclosed.

Article 8: Mechanism of the Service

The Service enables the creation of discussion rooms where AI assistants participate to facilitate debate and decision-making. These AI assistants utilize third-party AI technologies. We endeavor to ensure the AI contributions are relevant and appropriate, but do not guarantee their accuracy, completeness or usefulness.

Article 9: Paid Features

Certain features, such as the ability to create additional rooms, may require payment. Pricing information will be clearly communicated. All charges are non-refundable except as required by law. We reserve the right to change pricing at any time.

Article 10: Content and Intellectual Property

You retain ownership of content you submit, but grant us a worldwide license to use it in connection with operating and improving the Service. We claim no intellectual property rights over the material you provide. However, by submitting content, you grant us a royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, worldwide license to use, reproduce, modify, adapt, translate, create derivative works, publish, distribute and display such content in whole or in part. We reserve the right to remove content for any reason.

Article 11: User Responsibility

You are solely responsible for your use of the Service and any content you provide. You agree not to use the Service for any unlawful or prohibited purpose. You agree to respect the intellectual property rights of others.

Article 12: Service Changes and Interruptions

We reserve the right to modify, suspend or discontinue the Service at any time without liability. We do not guarantee the Service will be uninterrupted or error-free. The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

Article 13: Prohibited Acts

You agree not to:

  • Use the Service in any unlawful manner or for unlawful purposes;
  • Post or transmit any threatening, defamatory, obscene, offensive or illegal material;
  • Infringe the intellectual property rights of any party;
  • Impersonate any person or entity;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Attempt to gain unauthorized access to the Service or its related systems.

Article 14: Privacy and Data Handling

Our data practices are governed by our Privacy Policy. By using the Service, you acknowledge and agree that we may collect, process and use your information in accordance with our Privacy Policy.

Article 15: Disclaimer

The Service and all content are provided on an "AS IS" basis without warranties of any kind. We disclaim all warranties, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. Your use of the Service is at your own risk.

Article 16: Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. In no event shall our total liability for all claims related to the Service exceed the amounts paid by you to us in the last 12 months.

Article 16: Amendments to the Terms

We reserve the right to amend these Terms at any time. Amendments will become effective 7 days after they are posted. Your continued use of the Service after amendments become effective constitutes acceptance of the amended Terms. If you do not agree with the amended Terms, you must stop using the Service.

Article 17: Governing Law and Jurisdiction

These terms shall be interpreted in accordance with Japanese law. Any disputes related to the Service shall be under the jurisdiction of the Japanese courts.
